    Terms & Conditions

The agreement between Tixxly Inc and the suppliers, users and partners who access our platform.

    1. Section 1

      Introduction

Tixxly Inc, a Delaware corporation located at 8 The Green, Ste A, City of Dover, County of Kent, 19901, operates a platform enabling travel suppliers to connect inventory and booking data to AI ecosystems and marketplaces.

Users agree to these Terms upon registration or access. The company may modify these Terms at any time, with updated versions published on its website taking immediate effect upon posting.

    2. Section 2

      Role of Tixxly

Tixxly functions as a technology facilitator without owning or controlling supplier offerings. Depending on integration setup, either customers book directly with suppliers, or Tixxly provides checkout infrastructure while acting as a limited payment agent.

Suppliers remain merchants of record responsible for service delivery. The platform makes no warranties regarding any minimum level of sales, visibility, or traffic.

    3. Section 3

      Supplier Eligibility and Obligations

Prospective suppliers must maintain valid business registration, relevant licenses, accurate product data, adequate insurance, and legal compliance. They must provide updated information in requested formats and fulfill all confirmed bookings.

Suppliers cannot list unsafe, unlawful, discriminatory, or unethical products or activities.

    4. Section 4

      Subscription and Fees

Platform access operates on a monthly or annual subscription basis. Fees are non-refundable except where otherwise required by law or explicitly agreed in writing.

Tixxly reserves adjustment rights with reasonable advance notice. Non-payment results in access suspension or termination.

    5. Section 5

      Bookings and Payments

Direct bookings remain supplier responsibility. For Tixxly-processed bookings, the company collects funds as a limited agent and remits them minus processing fees per agreed schedules.

Tixxly accepts no responsibility for chargebacks, fraudulent transactions, or customer payment disputes except through its own checkout. Suppliers must maintain clear cancellation and refund policies.

    6. Section 6

      Data and Content

Suppliers grant Tixxly a non-exclusive, royalty-free license to host, distribute, and display their content across owned and partner channels. Suppliers warrant content accuracy and lawfulness.

Tixxly may anonymize and aggregate data for analytics. Personal data handling follows the Privacy Policy and applicable data protection regulations.

    7. Section 7

      Liability

The platform is provided "as is" with no warranties. Tixxly disclaims liability for indirect, consequential, or punitive damages from platform use or service disruptions.

Liability caps at total subscription fees paid during the preceding twelve months. The limitation excludes death or personal injury from negligence.

    8. Section 8

      Termination

Either party may terminate with 30 days' written notice at subscription period end; otherwise, auto-renewal occurs. Tixxly may immediately suspend access for breaches, non-payment, false content, or platform reputation damage.

Upon termination, Tixxly's licenses cease except for retained content data.

    9. Section 9

      Intellectual Property

Tixxly retains exclusive intellectual property rights in its platform, technology, and brand assets. Suppliers cannot use Tixxly trademarks or design assets without written permission.

    10. Section 10

      Force Majeure

Neither party bears liability for failures resulting from uncontrollable events including natural disasters, pandemics, cyberattacks, or regulatory restrictions.

    11. Section 11

      Jurisdiction

Delaware state law governs these Terms. Disputes fall under exclusive Delaware court jurisdiction.
